Terms of Service

Ruty is a software-as-a-service platform that helps dispatch teams organize shipments, customers, drivers, trucks, and documents, and share tracking links with their customers. Ruty is a software tool only — we are not a motor carrier, freight broker, freight forwarder, customs broker, or transportation provider, and we do not arrange or provide transportation services. We are not registered with the U.S. Federal Motor Carrier Safety Administration (FMCSA), Transport Canada, or Mexico's Secretaría de Comunicaciones y Transportes (SCT), and nothing in the service should be construed as transportation, customs, or regulatory advice.

You are responsible for keeping your sign-in credentials confidential and for all activity that happens under your account. Workspace administrators are responsible for managing members, roles, invitations, and the accuracy of the data uploaded to the workspace.

You retain all rights in the data you upload to Ruty. You grant us a limited license to host, process, transmit, and display that data solely to provide and improve the service. You are responsible for having the right to upload any personal information about your drivers, customers, or third parties, and for complying with applicable privacy laws in the United States, Canada, and Mexico.

You agree not to use Ruty to transmit unlawful content, to coordinate the transportation of illegal goods, to send unsolicited bulk messages through tracking links, to attempt to access workspaces that do not belong to you, to reverse engineer the service, or to interfere with its operation. Paid plans are billed in advance on a recurring basis through Stripe. Fees are non-refundable except where required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate accounts that are past due, in material breach of these terms, or that pose a security or legal risk.

When you connect a third-party service (such as a GPS / ELD provider or a payment processor), your use of that service is governed by that provider's own terms. We are not responsible for the availability, accuracy, or security of third-party services.

Ruty is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any shipment ETA, location reading, or AI-generated message will be accurate.

To the maximum extent permitted by law, Ruty and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, arising out of or relating to your use of the service. Our aggregate liability for any claim relating to the service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

You agree to defend and indemnify Ruty against third-party claims arising from your use of the service, your data, or your violation of these terms or applicable law.

We may update these terms from time to time. Material changes will be announced to workspace administrators. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Delaware, except where applicable consumer-protection law gives you the right to bring claims in your home jurisdiction.
